1. AGREEMENT TO TERMS

By accessing or using services provided by Loop Agency ("Company", "we", "us"), you ("Client", "you") agree to be bound by these Terms and Conditions. If you do not agree, you must not use our services.

2. DESCRIPTION OF SERVICES

Loop Agency provides access to its proprietary revenue infrastructure platform, including but not limited to:

• CRM and pipeline management systems
• Automated SMS, email, voice, and chat communication systems
• AI-powered voice and chat assistants
• Lead capture funnels and intelligent workflows
• Appointment booking and follow-up automation
• Marketing automation infrastructure and analytics dashboards
• Review automation and reputation management tools

All services may be offered on a subscription or project basis. We reserve the right to modify, update, or discontinue features with notice.

3. NATURE OF TECHNOLOGY & DISCLAIMERS

You acknowledge and agree that:

• Our platform includes automation and artificial intelligence systems that may produce variable, imperfect, or unexpected results
• AI-generated responses may not always be accurate, complete, appropriate, or suitable for your needs
• Systems may experience interruptions, delays, errors, or technical limitations
• No guarantee of revenue, ROI, business growth, or specific results

LOOP AGENCY DOES NOT GUARANTEE:

• Revenue, profit, or return on investment (ROI)
• Lead quality, conversion rates, or customer acquisition
• Accuracy, reliability, or appropriateness of automated or AI-generated outputs
• Uninterrupted or error-free operation of the platform

4. PLATFORM & SYSTEM DISCLAIMER

Our proprietary platform may rely on multiple underlying technologies and service providers. By using our services, you acknowledge:

• Certain functionalities depend on external systems and integrations beyond our direct control
• Downtime, delays, bugs, errors, or changes may occur in underlying infrastructure or third-party services
• Loop Agency is not liable for disruptions or failures caused by external systems, integrations, or service providers

5. ARTIFICIAL INTELLIGENCE & AUTOMATION DISCLAIMER

You acknowledge and agree:

• AI tools operate automatically and may function without real-time human oversight or judgment
• AI responses may be incorrect, delayed, offensive, inappropriate, or harmful
• Loop Agency is not responsible for outcomes, consequences, or damages resulting from AI interactions or automation decisions
• You are responsible for monitoring, testing, reviewing, and supervising how automation is used in your business operations

6. CLIENT RESPONSIBILITIES & ACCEPTABLE USE POLICY

You agree to:

• Provide accurate, current, and lawful information during registration and use
• Obtain proper, documented consent before contacting individuals via SMS, email, voice calls, or automated systems
• Comply with all applicable laws and regulations, including but not limited to: CASL (Canada's Anti-Spam Law), TCPA (US Telephone Consumer Protection Act), GDPR, PIPEDA, CCPA, and other data privacy laws
• Use the platform ethically, responsibly, and in good faith

You agree NOT to:

• Send spam, unsolicited communications, or violate anti-spam regulations
• Use deceptive, misleading, fraudulent, or manipulative marketing or communication practices
• Misuse AI systems to impersonate individuals or entities unlawfully or deceptively
• Engage in harassment, threats, abuse, or illegal outreach practices
• Violate intellectual property rights or use third-party content without authorization
• Attempt to hack, disrupt, compromise, reverse engineer, or access the platform's underlying systems

YOU ARE SOLELY AND FULLY RESPONSIBLE for all communications, content, and data sent through our platform, and for ensuring compliance with all applicable laws. Loop Agency is not responsible for any legal consequences, claims, or damages arising from your use or misuse of the service.

7. DATA OWNERSHIP & COMPLIANCE RESPONSIBILITY

• You retain full ownership of your data and content
• You grant Loop Agency permission to access, process, store, and display your data solely for the purpose of service delivery and platform operation
• You are responsible for obtaining and maintaining all necessary consents and permissions from individuals whose data you collect and process
• You are responsible for compliance with all data protection laws applicable to your jurisdiction and your customers' data
• Loop Agency is NOT liable for improper data collection, unauthorized usage, failure to obtain consent, or any legal claims arising from your data handling practices or communications

8. PAYMENTS, BILLING & REFUND POLICY

• All fees are billed in advance unless otherwise agreed in writing
• Subscription services renew automatically on your billing cycle. You are responsible for canceling before renewal if you do not wish to continue
• All payments are non-refundable once services are delivered, systems are deployed, or work has been performed
• All fees exclude applicable taxes (GST, HST, PST, or other jurisdictional taxes), which will be added at checkout. You are responsible for any applicable taxes
• Failure to pay invoices by the due date may result in service suspension or termination of your account
• We reserve the right to modify pricing upon 30 days' written notice. Continued use of services after such notice constitutes acceptance of new pricing

9. LIMITATION OF LIABILITY & DAMAGES

TO THE FULLEST EXTENT PERMITTED BY LAW:

LOOP AGENCY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR OTHER ECONOMIC DAMAGE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LOOP AGENCY'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 30 DAYS PRECEDING THE CLAIM.

THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF LOOP AGENCY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THESE LIMITATIONS SPECIFICALLY INCLUDE DAMAGES ARISING FROM AUTOMATION ERRORS, AI OUTPUT FAILURES, SYSTEM DOWNTIME, OR THIRD-PARTY SERVICE INTERRUPTIONS.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Loop Agency, its affiliates, and their officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use, misuse, or abuse of the platform
• Your violation of these Terms or applicable laws and regulations
• Your unauthorized, unlawful, or deceptive communications or marketing practices
• Disputes, claims, or legal action initiated by your customers, leads, or third parties

11. INTELLECTUAL PROPERTY RIGHTS

• All systems, workflows, automations, designs, strategies, software, code, and documentation within our platform remain the exclusive intellectual property of Loop Agency and are protected by copyright, trademark, and other intellectual property laws
• You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal business purposes while your subscription is active
• You retain all rights to your original content and data. However, you grant us a non-exclusive license to process, store, display, and analyze your data for service delivery and improvement purposes

12. SERVICE AVAILABILITY & SUPPORT

• We strive to maintain approximately 99.5% platform uptime but do not guarantee uninterrupted or error-free service
• Scheduled maintenance, emergency repairs, and circumstances beyond our reasonable control may result in temporary service interruptions
• Support services are provided via email (hello@loopagency.ca) and support portal during business hours
• Emergency or priority support availability may depend on your service plan

13. SUSPENSION & TERMINATION

Loop Agency may suspend or terminate your account and access to the platform immediately, without notice or refund, if:

• You violate these Terms or any applicable laws
• Payments are missed, late, or disputed
• The platform is used in a harmful, illegal, abusive, or deceptive manner
• You engage in unauthorized access attempts or system abuse

You may terminate your account at any time by providing 30 days' written notice to us. Termination requests should be sent to hello@loopagency.ca. No refunds will be issued upon termination, regardless of reason.

14. MODIFICATIONS TO TERMS & SERVICES

Loop Agency reserves the right to modify, update, or discontinue these Terms, the platform, or any features of the platform at any time, with or without notice. In the event of material changes to these Terms, we will provide 30 days' notice when practical.

Your continued use of the platform following any modifications constitutes your acceptance of the updated Terms. If you do not agree with changes, you may terminate your account.

15. GOVERNING LAW & JURISDICTION

These Terms and Conditions are governed by and construed in accordance with the laws of Saskatchewan, Canada, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Saskatoon, Saskatchewan, for the resolution of any disputes or legal actions arising from these Terms or your use of the platform.

16. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

17. ENTIRE AGREEMENT

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Loop Agency regarding your use of the platform and supersede all prior negotiations, understandings, and agreements, whether written or oral.
